These Terms of Service ("Terms") govern the Yamnaya LLC contractor platform (the "Service"). Read them before you accept the checkbox at signup — accepting binds your business to everything below.
1. Parties
Yamnaya LLC ("Yamnaya", "we", "us") is a Florida limited liability company and operates the Service. The "Customer" ("you") is the contractor's legal business entity named at signup — the entity in the "legal LLC name" field, not the individual who types it. The person completing signup represents that they are authorized to bind that entity to these Terms.
2. The Service
The Service is: a public quote website for the Customer's business, served on a subdomain we assign (for example yourname.wirepaths.com) or a domain you own; an admin portal for managing rates, leads, photos and mailers; and the hosting that keeps the site and portal running. What the Service includes at any given time is described on the pricing page and in the portal, not frozen by these Terms.
3. Pricing
The Customer's monthly fee is a dollar amount Yamnaya sets for that Customer individually. It is not stated in these Terms — it is stated on the Customer's approval email and on the Stripe Checkout page the Customer uses to start paying, and that stated amount controls.
In addition to the monthly fee:
- Mailers cost $2.00 each, charged before a batch is sent. Once a mailer has been mailed, that charge is non-refundable — the cost is incurred the moment the piece drops, whether or not it generates a lead.
- Card payments taken through the portal (if the Customer connects a Stripe account to accept payment from its own customers) carry a 5% platform fee, on top of Stripe's own processing fee. This only applies if the Customer chooses to connect Stripe; it is not required to use the rest of the Service.
4. Billing
The monthly fee is billed in advance, once a month, through Stripe. The Customer may cancel at any time; cancellation takes effect at the end of the paid month — there is no partial-month refund for cancelling early. Yamnaya will not raise the Customer's monthly fee without giving 30 days' written notice first (an email to the Customer's account address is sufficient notice).
5. Estimates Are Ranges, Not Inspections
Every price shown on the Customer's site — on the quote page, on a mailer, anywhere — is an estimate produced from satellite and public-record imagery, computed as a range from the Customer's own rate card. It is not a site inspection and it is not a binding quote. The Customer is solely responsible for:
- every price it sets on its rate card, and
- every quote it chooses to honor with a homeowner, including a quote that turns out to be wrong because the on-site conditions differ from what satellite imagery showed.
Yamnaya is not a party to any job the Customer sells and takes no responsibility for the accuracy of an individual estimate.
6. The Customer's Content
"Customer Content" means the Customer's logo, business photos, and rate-card data. The Customer owns its Content. By uploading it, the Customer grants Yamnaya a license to display, resize, and reproduce that Content on the Customer's site, in the admin portal, and on the Customer's mailers — nothing more.
By uploading photos, the Customer warrants that the photos are of the Customer's own completed work, not stock images, not another contractor's work, and not AI-generated images presented as real jobs. By using the Service, the Customer warrants that it holds any occupational or contractor license required to advertise the services it lists (for a Florida contractor, see Fla. Stat. § 489.119(6)(b)) and will supply Yamnaya with its license number for display on its advertising, including mailers.
7. Mailers
Where the Customer uses the mailer feature, the Customer is the sender of record for advertising-law purposes — the mailer is the Customer's advertisement, sent on the Customer's behalf. The Customer must not direct Yamnaya to mail content that is false, misleading, or infringes anyone's rights. The Customer authorizes Yamnaya to print and mail pieces on the Customer's behalf through a third-party print vendor Yamnaya selects and contracts with; the Customer has no direct relationship with that vendor.
8. Acceptable Use
The Customer will not use the Service to: violate any law; infringe anyone's intellectual property or privacy rights; harass, defraud, or discriminate against homeowners or anyone else; attempt to access another Customer's data or interfere with the Service's operation or security; or resell, sublicense, or white-label the Service to a third party. Yamnaya may suspend access immediately if it reasonably believes the Customer is doing any of the above.
9. Data
What Yamnaya collects and how it is used is described in the Privacy Policy, which is part of these Terms by reference. Homeowner lead data — the information a homeowner submits through the Customer's site — belongs to the Customer, not to Yamnaya.
10. No Exclusivity or Territory Protection
The Service does not grant the Customer any exclusivity, territory protection, or right to be the only Yamnaya customer serving a given area, service line, or set of homeowners. Nothing in these Terms, in any sales conversation, or in any other document Yamnaya has not separately and explicitly signed with the Customer creates any such right.
11. Service Levels
Yamnaya will operate the Service using commercially reasonable efforts. Yamnaya does not guarantee any specific uptime, response time, or availability percentage. Planned maintenance, third-party outages (hosting, payment processing, mail, imagery, or AI providers the Service depends on), and events outside Yamnaya's reasonable control are not breaches of these Terms.
12. Termination
Either party may end this agreement for any reason with 30 days' written notice. Yamnaya may terminate immediately, without the 30-day notice, if: the Customer's payment is more than 10 days past due, or the Customer breaches these Terms (including Sections 6, 7, or 8) and does not cure the breach after being notified of it. On termination, the Customer's site is taken down and portal access ends; fees already paid are not refunded except as stated in Section 4.
13. Disclaimer of Warranties; Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND YAMNAYA DOES NOT WARRANT THAT ANY ESTIMATE, LEAD, OR MAILER RESULT WILL BE ACCURATE OR PRODUCE ANY PARTICULAR OUTCOME FOR THE CUSTOMER'S BUSINESS.
To the maximum extent permitted by law, Yamnaya's total liability to the Customer arising out of or related to these Terms or the Service, for any cause, is capped at the total fees the Customer paid Yamnaya in the three months before the claim arose. Neither party is liable to the other for lost profits, lost revenue, or any indirect, incidental, special, or consequential damages.
14. Indemnification by Customer
The Customer will defend, indemnify, and hold Yamnaya harmless from any claim, loss, or expense (including reasonable attorney's fees) arising from: the Customer's Content; the prices or quotes the Customer sets or honors; or the mailers the Customer sends through the Service — including any claim that a mailer's content was false, misleading, or infringing, or that a quoted price was inaccurate or deceptive.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute arising out of these Terms will be brought exclusively in the state or federal courts located in Brevard County, Florida, and both parties consent to that venue.
16. Changes to These Terms
Yamnaya may update these Terms from time to time. A change is effective for a Customer once Yamnaya gives notice of the new version (an email to the Customer's account address, or a notice in the portal) and, where these Terms govern an ongoing subscription, no sooner than 30 days after that notice for any change that materially reduces the Customer's rights. Continuing to use the Service after a new version takes effect is acceptance of it.
17. Electronic Acceptance
The Customer accepts these Terms by checking the acceptance box on the signup form. That action is recorded by Yamnaya's system as the version of these Terms accepted, the date and time accepted, the IP address the acceptance came from, and the email address of the account accepting. That record is Yamnaya's proof of acceptance and is treated as a valid electronic signature under Fla. Stat. § 668.50.
